Terms and Conditions for Code Warden™ by Rooted Concepts Inc.

This document sets forth the terms and conditions ("Terms") that govern the use of Code Warden™ ("Software") provided by Rooted Concepts Inc. ("Company", "we", "us", or "our"). By installing, accessing, or using the Software, you ("User" or "you") agree to be bound by these Terms.

  1. License Grant: Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for your personal or internal business purposes.

  2. Usage Restrictions: You may not: (i) copy, modify, or distribute the Software for any purpose; (ii) transfer, sublicense, lease, lend, rent, or otherwise distribute the Software to any third party; (iii) decompile, reverse-engineer, disassemble, or create derivative works of the Software; or (iv) use the Software in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms.

  3. No Warranty: The Software is provided "as is" without any express or implied warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company makes no representations about the accuracy, reliability, completeness, or timeliness of the Software's output or results.

  4. Limitation of Liability: In no event shall the Company, its affiliates, or its licensors be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Software. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if the Company has been advised of the possibility of such damage. The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.

  5. No Support Obligation: While the Company will make commercially reasonable efforts to adhere to the Service Level Objectives (SLOs) specified on its website, the Company is under no obligation to provide support, maintenance, updates, or enhancements to the Software. Any support provided will be at the Company's sole discretion.

  6. Indemnification: You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and their respective officers, directors, employees, and agents from and against any and all claims, actions, suits, or proceedings, as well as any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Software; (b) any breach by you of these Terms; or (c) any data or content inputted into the Software by you.

  7. Termination: The Company may terminate or suspend your access to or ability to use the Software immediately, without prior notice or liability, for any reason or no reason, including but not limited to if you breach any of the terms or conditions of these Terms. Upon termination, your right to use the Software will immediately cease.

  8. Governing Law: These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated, without regard to its conflict of law provisions. You and the Company agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction.

  9. Amendments: The Company reserves the right to amend or update these Terms at any time, and it is your responsibility to review these Terms for any changes. Your continued use of the Software following the posting of changes will mean you accept those changes.

  10. Entire Agreement: These Terms constitute the entire agreement between you and the Company and govern your use of the Software, superseding any prior agreements between you and the Company with respect to the Software.

Privacy and Security

Code Warden utilizes a third party to process data.  It complies with GDPR and CCPA, and we can execute a Data Processing Agreement if your organization or use case requires it.

The third party provider has been evaluated by a third-party security auditor and is SOC 2 Type 2 compliant.

The API Code Warden uses undergoes annual third-party penetration testing, which identifies security weaknesses before they can be exploited by malicious actors.

At the end of the day, all of the decisions made by Rooted Concepts Inc. is intended to keep customer data secure and private.
